1. Definitions

Account means your user account for the Service.

  • Customer Data means data you upload or send through the Service, including contact information and messages.

  • Subscription means a paid plan for access to the Service.

  • Content means text, files, images, and other information submitted to the Service.

2. Eligibility and account registration

You must be at least 18 years old (or the legal age where you live) to use the Service. You are responsible for:

  • Providing accurate account information

  • Keeping your login credentials secure

  • All activity that happens under your Account

3. The Service

Syncro is a CRM platform that helps you manage contacts, conversations, tasks, automation, and related workflows. We may update, change, or discontinue parts of the Service at any time. If a change materially reduces core functionality of a paid plan, we will provide reasonable notice when possible.

4. Subscriptions, trials, and billing

4.1 Plans and pricing

Plan features and pricing are described on our pricing page or order form. Taxes may apply.

4.2 Free trials

If you start a free trial, it lasts for the period shown at sign up. Unless stated otherwise, trials convert to a paid Subscription at the end of the trial if you add a payment method and do not cancel before the trial ends.

4.3 Billing and renewal

Subscriptions renew automatically unless you cancel before the renewal date. You authorize us (and our payment processors) to charge your payment method for recurring fees.

4.4 Cancellation

You can cancel your Subscription anytime in your account settings. Cancellation stops future renewals. Unless required by law, we do not provide refunds for partial billing periods.

4.5 Refunds

Refunds, if any, are handled according to your plan terms, order form, or required law. If you believe you were billed incorrectly, contact support within 14 days of the charge.

5. Acceptable use

You agree not to use the Service to:

  • Break the law or violate third party rights

  • Send spam or unsolicited messages

  • Upload malware or attempt to disrupt the Service

  • Access accounts or data you do not own or have permission to use

  • Reverse engineer or attempt to extract source code, except where legally permitted

  • Abuse rate limits or attempt to bypass security controls

We may suspend or terminate access if we reasonably believe the Service is being misused.

6. Customer Data and privacy

6.1 Your data

You own your Customer Data. You give us permission to host, process, and display Customer Data only to provide and improve the Service, and as described in our Privacy Policy.

6.2 Privacy Policy

Our Privacy Policy explains how we collect and use personal data. It is incorporated into these Terms by reference: [Link to Privacy Policy].

6.3 Data export

You can export your Customer Data using available tools in the Service, subject to plan limits and technical constraints.

7. Third party services and integrations

The Service may integrate with third party tools (for example, email providers, calendar services, automation platforms). Your use of third party services is governed by their own terms and policies. We are not responsible for third party services.

8. Intellectual property

We own the Service, including all software, interfaces, design, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Service during your Subscription, subject to these Terms.

You may not copy, resell, or distribute the Service unless we explicitly allow it in writing.

9. Feedback

If you send suggestions or feedback, you grant us the right to use it without restriction or compensation.

10. Security

We use reasonable measures designed to protect the Service. However, no system is completely secure. You are responsible for using strong passwords, enabling available security features, and controlling access to your Account.

11. Suspension and termination

We may suspend or terminate your access if:

  • You violate these Terms

  • Your payment is overdue

  • We believe your use risks harm to the Service, users, or third parties

You may stop using the Service at any time. Upon termination, your right to use the Service ends. We may retain Customer Data for a limited period as described in our policies, then delete it according to our retention practices, unless legally required to keep it longer.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet all of your requirements.

13. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.

  • Our total liability for any claim related to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Syncro from claims, damages, and expenses arising from your use of the Service, your Customer Data, or your violation of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or via email. Your continued use after the effective date means you accept the updated Terms.

These Terms of Service govern your use of Commerce365, operated by Flatline Agency in the Netherlands. By creating an account or connecting a platform, you agree to these terms. Please read them carefully — they contain important information about billing, liability, and how AI agents act on your behalf.

1. Service Description

Commerce365 is an AI-powered e-commerce operations platform that connects to Shopify, Klaviyo, Meta Ads, Google Ads, Google Analytics, Google Search Console, BigQuery, and Google Sheets via OAuth. It provides automated analytics, agent-assisted workflows, performance reporting, and chat-based tools for Shopify merchants. The service is operated by Flatline Agency, a company registered in the Netherlands.

2. Account and Access

You must provide a valid email address and create an organization to use Commerce365. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years old and authorized to bind your organization to these terms. Do not share your credentials; use the team management features instead to add colleagues.

3. Pricing and Billing

Commerce365 offers three subscription tiers — Starter at €199 per month, Growth at €499 per month, and Agency at €999 per month — billed monthly via Stripe. All prices are exclusive of VAT where applicable. You may cancel your subscription at any time; access continues until the end of the current billing period and no refunds are issued for partial periods. We reserve the right to change pricing with at least 30 days advance notice, communicated via email to your organization's primary contact. Credit topups for additional AI usage are non-refundable and expire 12 months from purchase.

4. Data Processing and OAuth Authorization

By connecting third-party platforms to Commerce365, you authorize Commerce365 to access and process the data within the OAuth scopes you explicitly approve. We process this data solely to provide the service to you. Detailed information about what we collect, how long we retain it, and our compliance with GDPR and Shopify Protected Customer Data requirements is in our Privacy Policy at /privacy. By using Commerce365 you also accept the Privacy Policy.

5. AI-Generated Content and Agent Actions

Commerce365 uses AI (Anthropic Claude) to generate insights, summaries, reports, and recommendations. AI-generated content is provided as-is and should not be treated as professional financial, legal, tax, or business advice. You are responsible for reviewing and validating any suggestions before acting on them. Where AI agents propose write actions (for example, inventory updates, pricing changes, or campaign modifications), these actions require your explicit human approval via the in-app approval workflow before they execute. You remain fully responsible for any action you approve.

6. Acceptable Use

You agree not to: use the service for any illegal purpose or in violation of any applicable law; attempt to reverse-engineer, exploit, or abuse the platform or its APIs; exceed published rate limits or circumvent usage restrictions; share account credentials with unauthorized parties; use Commerce365 to send spam or unsolicited marketing; or use the service to infringe on anyone's intellectual property or privacy rights. We reserve the right to suspend accounts engaged in prohibited activity with reasonable notice where possible.

7. Limitation of Liability

Commerce365 is provided "as is" without warranties of any kind. To the maximum extent permitted by Dutch law: we are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the service; our total liability is limited to the amount you paid for the service in the 12 months preceding the claim; we are not responsible for actions taken by AI agents that you have approved or configured, nor for decisions you make based on AI-generated insights; and we are not liable for third-party platform outages, API changes, or data breaches outside our control.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party providers (Shopify, Meta, Google, Klaviyo, Anthropic, Supabase, Stripe, Inngest, or Vercel). Agent execution is scheduled via a durable workflow engine; runs queued during outages resume when service is restored.

9. Termination

You may terminate your account at any time via the billing settings page or by contacting us. We may suspend or terminate accounts that violate these terms, with reasonable notice where possible. Upon termination, your data will be deleted within 30 days in accordance with our Privacy Policy and Shopify GDPR webhook requirements. OAuth tokens are revoked immediately upon termination. Deleted data cannot be recovered — please export reports or data you wish to keep before cancelling.

10. Governing Law

These terms are governed by the laws of the Netherlands. Any disputes arising out of or in connection with these terms shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands. If any provision of these terms is found unenforceable, the remaining provisions shall remain in full force and effect.
